THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER.
EXCEPT FOR CERTAIN LIMITED DISPUTES DESCRIBED BELOW, ANY DISPUTE BETWEEN YOU AND QUESTAX LLC WILL BE RESOLVED THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.

ARBITRATION MEANS THERE IS NO JUDGE OR JURY, AND DISCOVERY AND APPELLATE RIGHTS ARE MORE LIMITED THAN IN COURT.

1. ACCEPTANCE OF TERMS

These Terms constitute a legally binding agreement between you (“you,” “your,” or “user”) and QUESTAX LLC (“QUESTAX LLC,” “the Company,” “we,” “us,” or “our”).

By:

  • Accessing or browsing this website,

  • Clicking on links within the website,

  • Submitting information through forms,

  • Using any services, or

  • Communicating with QUESTAX LLC electronically,

you agree to be bound by these Terms, whether or not you complete a transaction or engagement.

If you do not agree to these Terms, do not access or use the Site.

2. OWNERSHIP AND OPERATION OF THE SITE

The websites, applications, digital platforms, and communications channels on which these Terms appear (collectively, the “Site”) are owned and operated by QUESTAX LLC.

QUESTAX LLC may, at its sole discretion:

  • Change these Terms at any time.

Updated Terms will be effective upon posting. Continued use of the Site constitutes acceptance of the revised Terms.

3. ELIGIBILITY AND USER RESPONSIBILITIES

You represent and warrant that:

  • You are at least eighteen (18) years of age;

  • You have the legal capacity to enter into these Terms;

  • Any information you provide is accurate, current, and complete;

  • You are authorized to submit information on behalf of yourself or another party where applicable.

You are responsible for maintaining the confidentiality of any credentials or access information and for all activity conducted under your access.

4. PERMITTED USE AND RESTRICTIONS

You agree not to use the Site in any manner that:

5. INTELLECTUAL PROPERTY RIGHTS

All content on the Site, including but not limited to:

(collectively, the “Materials”) are owned by or licensed to QUESTAX LLC and are protected by U.S. and international intellectual property laws.

Limited License

QUESTAX LLC grants you a limited, revocable, non-exclusive, non-transferable license to view and print Materials solely for personal, non-commercial use.

You may not:

  • Copy, reproduce, modify, or distribute Materials;

  • Create derivative works;

  • Reverse engineer or scrape the Site;

  • Use Materials for commercial purposes without written permission.

All rights not expressly granted are reserved.

6. SUBMISSIONS AND COMMUNICATIONS

Any information, resumes, messages, suggestions, or other materials you submit to QUESTAX LLC (“Submissions”) become the property of QUESTAX LLC to the extent permitted by law.

By submitting content, you grant QUESTAX LLC a perpetual, worldwide, royalty-free license to use, reproduce, and process such Submissions for legitimate business purposes.

You represent that your Submissions:

  • Do not infringe third-party rights,

  • Are lawful and accurate,

  • Do not contain confidential information you are not authorized to share.

7. DISCLAIMER OF WARRANTIES

THE SITE, MATERIALS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, QUESTAX LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY,

  • FITNESS FOR A PARTICULAR PURPOSE,

  • NON-INFRINGEMENT,

  • ACCURACY OR COMPLETENESS,

  • AVAILABILITY OR SECURITY.

QUESTAX LLC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • QUESTAX LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;

  • TOTAL LIABILITY ARISING FROM OR RELATED TO THE SITE SHALL NOT EXCEED FIFTY DOLLARS ($50) IN THE AGGREGATE.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless QUESTAX LLC and its affiliates, officers, employees, agents, and service providers from any claims, damages, losses, or expenses arising from:

  • Your use of the Site,

  • Your violation of these Terms,

  • Your Submissions,

  • Your violation of applicable law.

10. BINDING ARBITRATION AND CLASS ACTION WAIVER

Any dispute, claim, or controversy arising from or relating to these Terms or the Site shall be resolved by binding individual arbitration administered by JAMS under its applicable rules.

  • Arbitration will take place in a reasonably convenient location or remotely.

  • Each party waives the right to a jury trial and class proceedings.

  • The Federal Arbitration Act governs this agreement.

You may opt out of arbitration within 30 days of accepting these Terms by providing written notice to QUESTAX LLC.

11. GOVERNING LAW AND JURISDICTION

These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.

Where arbitration does not apply, disputes shall be brought exclusively in the state or federal courts located in Maryland.

12. ENTIRE AGREEMENT AND SEVERABILITY

These Terms constitute the entire agreement between you and QUESTAX LLC regarding the Site.

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

13. PRIVACY

Use of the Site is subject to QUESTAX LLC’s Privacy Policy, which explains how personal data is collected, used, and protected.

14. CHANGES TO TERMS

QUESTAX LLC reserves the right to modify these Terms at any time. Continued use of the Site constitutes acceptance of updated Terms.
